The Glove Source, Inc., (“The Glove Source”) maintains this website located at www.glovesource.org and its associated websites, webpages, content and other materials (collectively the “Site”) to provide to you information about The Glove Source, its experience, capabilities and services. Your access to and use of the Site is subject to these Terms of Use and all applicable laws. By accessing the Site, you accept, without limitation or qualification, these Terms of Use. You should review the most current version of the Terms of Use often as they may be modified from time to time and the terms as modified will govern your use of the Site. Any new features that augment or enhance the Site will be subject to these Terms of Use.

1. Generally
You are free to browse the Site. All material available on the Site is referred to as “Licensed Content.” Licensed Content may change periodically and at any time. The Glove Source’s website(s) do not target and are not intended for use by children under age 13. The Glove Source will not knowingly contact children under age 13 about promotions or for marketing purposes without a parent’s permission nor will it ask for more personal information than is reasonably necessary to participate in a given activity. Because many factors go into the decision-making process of acquiring products and services and everyone’s particular circumstances and needs may differ, the Licensed Content is provided for informational purposes only.

2. Privacy
The Glove Source values its relationship with visitors and clients and makes reasonable efforts to safeguard any personal information collected, while also making the Site and Licensed Content available. Personal information is information about you that is personally identifiable, such as your name, address, e-mail address, telephone number, and that is not otherwise publicly available. Personal information may also be collected when you communicate with The Glove Source through the “Contact” or other client support links on the Site, via e-mail, to request support, ask a question or report a problem. If you contact The Glove Source, it will keep a record of that session or correspondence. The Glove Source automatically receives and records information on its server logs from your browser, including your IP address, The Glove Source cookie information and your page requests.

The Glove Source may use any information gained through the Site for any legal purpose. Generally, The Glove Source uses information to provide maintenance and support to existing clients, customize Licensed Content, fulfill your information requests, improve services, contact you, conduct research and provide anonymous reporting for internal use. The Glove Source will not report aggregated data in a manner intended to permit such information to be identified with any user nor will it sell your personal information. Except for any personally identifiable information The Glove Source may collect from you under the guidelines established in this Privacy Section, any material, information or other communication you transmit, upload or post to the Site or email to The Glove Source (“Communications”) will be considered non-confidential and nonproprietary.

If The Glove Source were to merge with or be acquired by another company or if it were to cease operations, your information may be transferred to the surviving company and will be subject to that entity’s privacy policy. The Glove Source may disclose your personal information if it has reason to believe that disclosure is necessary to identify, contact or bring legal action to enforce any of The Glove Source’s rights, including against you or a third party, for nonpayment, violation of any agreement with The Glove Source, violation of these Terms of Use to prevent injury to or interference with The Glove Source’s rights or property, to other The Glove Source users or anyone else that could be harmed by such activities. The Glove Source may disclose or access account information when it believes in good faith that the law requires it and for administrative and other purposes that The Glove Source deems necessary to maintain, service and improve it services and to protect its rights or property. By accessing and using the Site, you agree that information you have provided may be disclosed as described above or as may be modified from time to time.

3. User Conduct
All information, data, messages or other materials transmitted are the expressions, opinions and sole responsibility of the person from whom such material originated. This means that you and not The Glove Source are entirely responsible for all downloads, uploads and/or emails transmitted via the Site. You should verify all statements and do your own testing and due diligence before following any recommended advice. Under no circumstances is or will The Glove Source be liable in any way for any Communications, your or another user’s use of the Site or any Licensed Content, including but not limited to any errors or omissions in any Licensed Content or for any loss or damage of any kind incurred as a result of the use of any Licensed Content via the Site.

You agree not to use the Site to:
(a) email, or otherwise transmit anything that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful or racially, ethnically or otherwise objectionable;
(b) impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with The Glove Source or any other person or entity;
(c) forge headers or otherwise manipulate identifiers in order to disguise the origin of anything transmitted through the Site;
(d) email or otherwise transmit anything that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as insider information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
(e) email or otherwise transmit anything that infringes any patent, trademark, trade secret, copyright or other proprietary right (“Rights”);
(f) email or otherwise transmit any unsolicited or unauthorized advertising or promotional materials, chain letters or other solicitation;
(g) email or otherwise transmit any material containing software viruses or any other malicious, computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware, telecommunications equipment or database;
(h) interfere with or disrupt the Site or servers or networks connected to the Site or disobey any requirements, procedures, policies or regulations of networks connected to the Site or otherwise impose an unreasonable or disproportionate burden on the Site;
(i) intentionally or unintentionally violate any applicable local, state, national or international law, rules or regulations;
(j) attempt to circumvent any passwords or other security features or take any action intended or designed to compromise the privacy or security of the Site, users or other visitors;
(k) reproduce, modify, rent, lease, loan, distribute, sell, trade, resell or otherwise commercially exploit any portion of the Site or create derivative works based on the Site, Software or Licensed Content in whole or in part.

4. Indemnity
You agree to indemnify, defend, release and hold The Glove Source, its officers, directors, suppliers, co-branders or other partners, agents and employees, harmless from all claims, demand, damages, fees and costs of any nature, including reasonable fees of attorneys’ and other professionals, due to or arising out of anything you submit or transmit through the Site, your use of the Site, your connection to the Site, your violation of these Terms of Use, or your violation of any intellectual property rights. In the event you provide information that is untrue, inaccurate, fraudulent, or out of date, you agree to indemnify The Glove Source for and hold it harmless from and against any and all liability, damages, loss or expense (including reasonable fees of attorneys and other professionals) it may incur, including but not limited to loss of business profits, taxes, penalties or sanctions, interest, fees, costs and expenses of any nature arising from or related to any claim, demand, action or proceeding alleged or initiated against The Glove Source by any third party based upon the information you provide or your use of the Site.

5. Modifications to Site
From time to time The Glove Source may change the Licensed Content, the services offered or terminated through the Site or modify the Site’s capability. The Glove Source reserves the right at any time and from time to time to modify these Terms of Use, the Site and/or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. You agree that The Glove Source shall not be liable to you or to any third party for any such action.

6. Termination
The Glove Source, in its sole discretion, may terminate your use for any reason, but especially if The Glove Source believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Use. The Glove Source may also in its sole discretion and at any time discontinue providing the Site, or any part thereof, with or without notice. You agree that any termination of your access to the Site under any provision of the Terms of Use may be effected without prior notice, and acknowledge and agree that The Glove Source may immediately deactivate or delete your account, if any, and all related information and files in your account and/or bar any further access to such files or the Site. Further, you agree that The Glove Source shall not be liable to you or any third party for any termination of your access to the Site.

7. Links
This Site may contain links to other internet websites or resources. When you link to those sites, you leave this Site and therefore The Glove Source privacy terms set forth in these Terms of Use no longer apply; you become subject to the practices of those companies or individuals operating the linked sites. Please use caution and review the privacy policies of any sites that you visit to learn more about their information gathering practices. The Glove Source has no control over such sites, their content and resources or the business practices or policies of operators of such sites. Therefore The Glove Source cannot be and expressly disclaims all responsibility or liability for the availability or accuracy of such external sites or resources or the content thereon, does not endorse and is not responsible or liable for any advertising, products or other materials on or available from such sites or resources. The inclusion of any link on the Site does not imply that The Glove Source endorses the linked site. Your use of the links is at your own risk. You further acknowledge and agree that The Glove Source shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such goods, services or materials available on or through any such link, site or resource.

8. The Glove Source’s Proprietary Rights
Everything you see or read on the Site, including the collection, compilation, assembly and arrangement of Licensed Content, is protected by all U.S. and international copyright, patent, trademark and other laws relating to the protection of proprietary rights, and may not be used except as provided in these Terms of Use without The Glove Source’s express written permission. The Site and any necessary software used in connection with the Site (“Software”), the collection, compilation, assembly and arrangement of Licensed Content, all images, photography, graphics, artwork, text, and other information and material found on the Site, regardless of source, all Marks and other intellectual property relating thereto and all information and data collected through the Site (all of which are included in and as the “Licensed Content”), is owned by The Glove Source, its clients, suppliers or partners and contains proprietary and confidential information that is protected by all applicable intellectual property and other laws. All trademarks, logos, taglines, slogans, trade names, trade dress, product and service names, individually or combined with one another, and whether or not registered (collectively the “Marks”) are proprietary to The Glove Source or other third party owners who have granted The Glove Source the right and license to use its marks (“Third Party Marks”). The Glove Source may license from third parties the rights to use their marks on its products (“Third Party Marks”). You may not use or display either the Marks or the Third Party Marks in any manner. This includes use in or as metatags or any other ”hidden text.” Other The Glove Source product or service names, slogans, taglines, logos, graphics, page headers, button icons, scripts are trademarks or trade dress of The Glove Source and may not be used in connection with any product or service that is not The Glove Source’s in any manner, but especially that which is likely to cause confusion in the marketplace, or in any matter that disparages or discredits The Glove Source.

9. Notices and Procedures for Making Claims of Copyright Infringement
Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to the Site’s legal department. ALL INQUIRIES NOT RELEVANT TO OR NOT COMPLYING WITH THE FOLLOWING PROCEDURE WILL RECEIVE NO RESPONSE.

The Glove Source respects the intellectual property of others, and asks its users and visitors to do the same. The Glove Source will process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act (“DMCA”) and other applicable intellectual property laws. Upon receipt of notices complying with the DMCA, The Glove Source will act to remove or disable access to any material found to be infringing or found to be the subject of infringing activity and will act to remove or disable access to any reference or link to material or activity that is found to be infringing.

If you believe that your work has been copied in any way that constitutes copyright infringement, please provide all of the following information:
a. a physical or electronic signature of the person authorized to act on behalf of the owner of an exclusive copyright that is allegedly infringed;
b. a description of the copyrighted work that you claim has been infringed;
c. a description of where the material that you claim is infringing is located on the Site;
d. your address, telephone number, and email address and all other information reasonably sufficient to permit The Glove Source to contact you;
e. a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
f. a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

IMPORTANT NOTE: THE PRECEDING INFORMATION IS PROVIDED EXCLUSIVELY FOR NOTIFYING THE GLOVE SOURCE THAT YOUR COPYRIGHTED MATERIAL MAY HAVE BEEN INFRINGED. ALL OTHER INQUIRIES, SUCH AS PRODUCT-RELATED QUESTIONS AND REQUESTS, OR QUESTIONS ON PRIVACY, WILL NOT RECEIVE A RESPONSE THROUGH THIS PROCESS.

10. DISCLAIMERS AND LIMITATIONS OF LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
(a) YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE GLOVE SOURCE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND NONINTERFERENCE WITH YOUR USE OF ALL OR ANY PART OF THE SITE.
(b) THE GLOVE SOURCE MAKES NO WARRANTY THAT (i) THE SITE WILL MEET YOUR REQUIREMENTS, (ii) THE SITE AND/OR ONLINE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE OR ERROR-FREE, (iii) THE RESULTS OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE, OR (iv) THE QUALITY OF ANY PRODUCTS, SITE, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS.
(c) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
(d) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE GLOVE SOURCE OR THROUGH OR FROM THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OF USE OR OTHERWISE APPLICABLE PURSUANT TO YOUR PURCHASE OF THE GLOVE SOURCE SERVICES.
(e) THE GLOVE SOURCE ASSUMES NO RESPONSIBILITY FOR THE SITE INCLUDING BUT NOT LIMITED TO THE LICENSED CONTENT, ANY SERVICES DEPICTIONS OR PRICING SHOWN ON THE SITE, TIMELINESS, DELETION, MIS-DELIVERY OR FAILURE TO STORE ANY USER COMMUNICATIONS OR DATA.
(f) THE GLOVE SOURCE SHALL NOT BE LIABLE FOR ANY DAMAGES WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF THE GLOVE SOURCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SITE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES, DATA INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SITE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT BY YOU, ANY OTHER USER OR ANY OTHER THIRD PARTY ON THE SITE; OR (v) ANY OTHER MATTER RELATING TO THE SITE. The Site may also provide notices of changes to these Terms of Use or other matters by displaying notices or links to notices to you generally on the Site. Glove Source and The Glove Source is a trademark of The Glove Source, Inc. whether or not registered.

13. General Information
These Terms of Use and any other agreements, whether or not referenced herein, constitute the entire agreement between you and The Glove Source with regard to and shall govern your activities and use of the Site, superseding any prior agreements between you and The Glove Source. You also may be subject to additional terms and conditions contained in invoices, or terms and contracts that may apply when you purchase products from The Glove Source or when you use affiliate services, third party content or third party software. These Terms of Use, any other agreement with and the relationship between you and The Glove Source shall be governed by the laws of the State of Maryland without regard to its conflict of law provisions. You and The Glove Source agree to submit to the personal and exclusive jurisdiction of the pertinent state or federal courts located within or with jurisdiction over Howard County, State of Maryland. Notwithstanding the foregoing, The Glove Source may seek equitable relief, including preliminary and permanent injunction, in any court of competent jurisdiction to prevent or enjoin misappropriation, misuse, unauthorized disclosure or infringement of any intellectual property rights and/or that of third parties. No bond shall be required as security for such equitable relief. Such remedies shall not be deemed to be exclusive but shall be in addition to all other remedies available at law or in equity. The failure of The Glove Source to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms of Use remain in full force and effect. You agree that regardless of any statute or law to the contrary, you must file any claim or cause of action arising out of or related to your use of the Site or the Terms of Use within one (1) year after such claim or cause of action arose or be forever barred. The section titles in the Terms of Use are for convenience only and have no legal or contractual effect.
